DEFINITIONS:
In this OmniMaze Group LLC Agreement, the following definitions apply hereinafter:
- “Agreement” refers to the OmniMaze Group LLC Agreement
- “We”, “Our”, and “Us” refer to OmniMaze Group LLC
- “Website” refers to

- “Services” is a collective term for Our Website, products, services, and resources offered or enabled by Our Website
- “Materials” is a collective term for all logos, brand names, images, designs, graphics, photographs, videos, information, data, documents, communications, downloads, files, digital text, written text, stylized text, podcasts, webcasts, publications, articles, content, tools, resources, computer software, computer code, computer programs, computer scripts, and products made available through Our Website
- “Intellectual Property” refers to Our Materials, copyrights, trademarks, service marks, trade dress, and / or other intellectual property whether common, registered or unregistered by Us
- “Person” refers to a natural person or legal person
- “You” and “Your” refer to any Person authorized to access one or more accounts, and each Person who has an interest in an account or other relationship that is accessible through Our Website or Services
- “Third-Party” and “Third-Parties” refer to external websites, companies, resources, and / or services not owned or operated by Us
- “Include”, “Includes”, and “Including” are terms used to indicate examples and not to limit what is covered
- “Policies” is a collective term for Our Privacy Policy, Disclosure Policy, and Cookie Policy
- “B2B” refers to business-to-business in which We market Our Services to other businesses
- “B2C” refers to business-to-consumer in which We market Our Services to consumers
- “Change” or “Changes” refers to Our right to modify or amend anything in this Agreement
- “PII” refers to personally identifiable information
- “SPI” refers to sensitive personal information; as well as private, privileged, sensitive, or confidential information
Other general definitions are provided below, and service-specific terms may be defined in later sections of the Agreement.
OVERVIEW:
The Agreement mostly consists of Our Terms of Service and Policies. Our Terms of Service outlines what You must agree to in order to use Our Services. Our Policies outline how We handle Your PII and disclosures We make regarding Your PII. Basically, Your PII may become collected by Us or Third-Parties through the use of Our Services. Under normal circumstances, We collect or have access to data communicated through, but not limited to, the following:
- Our contact form (Your - first name, last name, email address, and comments / message)
- Cookies (Google Analytics, Bing Maps, Amazon Web Services, contact form - see “Cookie Policy”)
- Log Data (see “Privacy Policy”)
CONTRACT
Nothing in this Agreement shall supersede a legally binding contract. A contract is required in order to utilize, purchase, and / or procure Our Services.
TERMS OF SERVICE
Your use of Our Services is subject to the terms, conditions, and limitations stated in this Agreement.
CHANGES TO POLICIES AND TERMS OF SERVICE:
We may update Our Policies and / or Terms of Service periodically or in response to legislation. We reserve the right to Change these clauses, provisions, terms, and conditions at any time by posting the revised Policies and / or Terms of Service on Our Website. Material Changes will only pertain to information We collect after the effective date of the Change to Our Policies and / or Terms of Service; unless clearly expressed otherwise. These Changes are effective immediately upon being posted on this page (www.omnimaze.com/legal) with the “last modified” date identified at the bottom of the page.
Additionally, We may terminate, modify, or amend this Agreement at any time, and limit access only to a revised or updated Agreement.
ACCEPTANCE OF TERMS:
By accessing or using Our Website and / or Services, You agree to and are bound by the Agreement set forth in this document. If You do not agree with Our Agreement, do not access Our Website.
If You, whether personally or on behalf of an entity, choose to use Our Services, then You agree to the collection and use of information in relation to Our Policies.
SEVERABILITY
If any clauses, provisions, terms, or conditions are found invalid or unenforceable, that clause will be removed and the remaining clauses, provisions, terms, and / or conditions shall remain in force.
GOVERNING LAW AND JURISDICTION:
The validity of this Agreement is subject to the law and jurisdiction of the state and courts in which We are registered.
LINKS TO EXTERNAL SITES:
Our Services may contain links to Third-Party external sites owned and / or operated by parties other than Us. Although We strive to only include high quality and safe external links, sometimes links can change by the domain owner or through malicious intent. Visitors to Our Website should adopt a policy of caution before clicking any external web links. Upon clicking on a Third-Party link, You’ll be directed to that site. These Third-Party external sites are not operated by Us and provided as reference only. Therefore, We advise You to review the privacy policy and disclosures of those websites. We assume no responsibility for any Third-Party site or services. We do not monitor or control outside Third-Party websites and are not responsible for their content. We are not liable for damages or implications caused by visiting any external links. Our inclusion of links to a Third-Party website does not imply any endorsement of the material on Our Website or, unless expressly disclosed otherwise, any sponsorship, affiliation or association with it’s owner, operator or sponsor, nor does Our inclusion of the links imply that We are authorized to use any trade name, trademark, logo, legal or official seal, or copyrighted symbol that may be reflected in the linked Third-Party website.
Having said that, the only external links We currently include on Our Website resolve to Our social media pages and “payment processor”.
SOCIAL MEDIA PLATFORMS:
Communications, engagement, and actions taken on or through external social media platforms that Our Website, agents, or representatives participate on are custom to the rules, privacy policy, disclosure, and / or terms and conditions held with each social media platform respectively.
EMAIL AND CONTACT FORM:
Email and contact forms are not secure mediums of communication. We recommend You do not send SPI information to Us through email or Our contact form. If You communicate with Us through email or Our contact form, Your communication may not be treated as private due to differences in email hosting providers and encryption methods.
PAYMENT PROCESSOR:
All electronic payments are processed by Payment Card Industry (PCI) authorized electronic payment service providers, without Our involvement, external to Our Services. Although We utilize secure electronic payment service providers, occasionally security breaches do occur. We do not accept any responsibility for PII or SPI exposed through electronic security breaches at payment service providers We utilize.
Generally, We neither collect nor store financial information. However, We may have temporary access to PII or SPI financial information when the following occur: payment is by check, to set up recurring payments with the “payment processor” on behalf of the Person, process the transaction on behalf of the Person, or to trouble shoot a payment problem. Specifically, only Our officers are allowed temporary access to Person, client, or customer PII / SPI financial information - in the instances listed above. Subsequently, after the purpose for which We have temporary access to PII or SPI financial information is completed, We immediately destroy the financial information using commercially acceptable standards for data destruction.
INDEMITY AND LIABILITY:
Our Website and / or Services are operated on an “as is”, “as available” basis. We specifically disclaim all representations, warranties, and conditions of any kind, including implied warranties and conditions of merchantability, fitness for a particular purpose, title and non-infringement for Our Services and any contracts and Services You purchase through / by it. FORCE MAJEURE
Force majeure shall mean any natural disaster, event, series of events, crisis, trend, state of affairs - related to economic, finance, and financial markets. Under such conditions, all parties are discharged from their obligations arising from breach of this Agreement.
UNSOLICITED:
Unsolicited ideas, data, or information submitted through Our Website, email, or physical mail shall neither be considered or accepted - nor deemed confidential or proprietary information.
ADVERTISEMENTS AND PROMOTIONS:
Occasionally, We may run advertisements and promotions, or from Third-Parties via the Website, which may collect additional PII.
INTELLECTUAL PROPERTY, COPYRIGHTS AND TRADEMARKS:
Unless otherwise noted, all Materials including without limitation and other materials that appear as part of Our Website are Intellectual Property; owned, controlled or licensed by Us. Our Website as a whole is protected by copyright and trade dress. Nothing on Our Website should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Intellectual Property displayed or used on Our Website, without the prior written permission of the intellectual property owner. EXPORT CONTROL LAWS:
We don’t export / re-export software or provide Services to embargoed countries; or locations The United States embargoes goods. We also do not distribute software or provide Services to persons on the Table of Denial Orders, Entity List, List of Specially Designated Nations, or any other list or Person prevented from doing business within The United States.

Where technically possible and within Our ability, We strive to keep all Your PII contained within Our Services, used only by Us, to improve Our Services to You. We take the privacy of Our visitors and clients very seriously and value their trust in Us while using Our Services.

We collect information You provide to Us in order to perform some Services. Generally, You control the amount and type of information You provide to Us when using Our Website. The PII We collect is highly dependent on the context of Your interaction with Our Services.
Basic Account Information: Basic information is needed in order to provide Services. This may include but is not limited to: Your - name, phone number, email address, and postal address.
Transaction and Billing: We utilize Payment Card Industry (PCI) authorized electronic payment service providers, which allow Us to avoid having to temporarily store one-time or recurring payment information. However, as defined in Our Terms of Service, We may at times need to collect billing information in order to process the transaction and payment. This may include but is not limited to: Your contact name, billing name, billing credit or debit card number and pin, expiration date of bill credit or debit card, billing address, and / or checking account information if paying by check. We need to collect this information in order to provide Services related to but not limited to: website design, website hosting, social media management, public relations, and / or branding.
E-commerce Site Information: For some of Our Services pertaining to the selling of products or services by others, We may need to collect Your financial information to set-up accounts on Your behalf, in order to provide payment integration between You and Your customers. This may include but is not limited to: Your - contact name, billing name, billing credit or debit card number and pin, billing address, payment name, payment credit or debit card number, payment address, and / or checking account information if You accept electronic payments. Only Our company officers are allowed temporary access to Your payment methods, outside of Third-Party service providers. Subsequently, after We complete the task, all financial information is destroyed using commercially accepted means for data destruction. In other words, We destroy Your financial information as soon as practical to do so, which leaves Your financial information with the agreed upon Third-Party service provider that is fulfilling the service that You requested from Us.
Content Information: Depending on the Services You purchase from us, You may also need to provide Us with information about You or Your business, in draft and published form. This mostly pertains to providing Us content with which We then review and post publicly to Your website - on Your behalf for websites We host. We will neither host nor perform editor duties for content which consists of materials We deem an inappropriate representation and association of Our Services.
Credentials: Some Services require Us to collect credentials for Your website or digital accounts. This might include but is not limited to: settings up accounts, managing websites, and troubleshooting digital problems.

Business Transfers: In connection with any merger, sale of company assets, or acquisition of all or a portion of Our business by another company, or in the unlikely event that We go out of business or enter bankruptcy, user information would likely be one of the assets that is transferred or acquired by a Third-Party.
